1Description of Service

Noppup is a desktop companion for macOS that provides an animated pet character, AI-powered chat, productivity tools (focus timer, projects, habits, journal, sticky notes), and wellness features. Some features are free; others require a paid subscription.

2Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this requirement and that you are legally able to enter into these Terms.

3Accounts

Some features (including Cloud Sync and paid subscriptions) require an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at legal@noppup.pet if you believe your account has been compromised.

4Plans and Features

• Free. Core features at no cost, with no credit card required. Includes a limited daily allowance of AI chat and a selection of pets and tools.
• Pro. A paid subscription that unlocks unlimited AI chat, the full journal and project tools, additional pets, and other premium features.
• AI Agent. A higher paid tier (where available) that adds an autonomous AI agent on top of Pro. Availability depends on the platform you obtained the App from and may not be offered in every distribution channel.

The exact features, limits, and prices for each plan are shown on our website and within the App, and may change over time.

5Payments, Subscriptions, and Auto-Renewal

Billing channel

How you are billed depends on where you obtained the App:

Auto-renewal

Paid subscriptions renew automatically for the same period (monthly or annually, as selected) at the then-current price, unless canceled at least 24 hours before the end of the current period.

Managing and canceling

• If you subscribed through the Mac App Store, manage or cancel your subscription in your Apple ID subscription settings(System Settings → your name → Media & Purchases, or the App Store). Turning off renewal there stops future charges; the subscription remains active until the end of the paid period.
• If you subscribed on our website, you can manage or cancel from within the App or the customer portal we provide.

Price changes

We may change subscription pricing. For website subscriptions we will give at least 30 days' notice, and existing subscribers will be notified before any change affects them. For Mac App Store subscriptions, price changes are handled according to Apple's rules, which may require your consent before renewal.

Refunds

• Mac App Store purchases are subject to Apple's refund policies; refund requests are handled by Apple.
• Website purchases are handled by us in accordance with applicable law; contact legal@noppup.pet.

6AI Chat and AI Agent

The AI chat and AI Agent features are powered by third-party AI technology (Anthropic's Claude). While we strive for accuracy, AI responses may not always be correct.

• You are responsible for how you use AI features and for any actions you take based on their output.
• The AI Agent may perform actions on your behalf within the App and on your device according to your instructions. You are responsible for the tasks you ask it to perform and for reviewing its actions.

7Your Content

You retain ownership of the content you create in the App (journal entries, notes, projects, habits, and similar data). If you enable Cloud Sync, you grant us the limited right to store and transmit that content solely to provide the sync service to you, as described in our Privacy Policy. We do not claim ownership of your content and do not use it to train AI models.

8Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law.
• Use the App to generate or distribute harmful, illegal, or abusive content.
• Attempt to circumvent usage limits, quotas, or security measures.
• Redistribute, resell, or sublicense the App or any of its components.
• Use the App in violation of any applicable law or regulation.

9Intellectual Property

All content, characters, designs, code, and branding in Noppup are the intellectual property of DonQuijotech LLC. Subject to these Terms, you are granted a personal, non-transferable, non-exclusive license to use the App. This license does not transfer any ownership rights to you.

10Third-Party Services

The App relies on third-party services to function, including Anthropic (AI), Supabase (accounts and Cloud Sync), and Apple or Stripe (payments). Your use of the App may also be subject to those providers' terms. We are not responsible for third-party services outside our control.

11Disclaimer of Warranties

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not guarantee that the App will be uninterrupted, error-free, or free of harmful components, or that it will meet your requirements.

12Limitation of Liability

To the maximum extent permitted by law, DonQuijotech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid us for the App in the twelve months preceding the claim.

13Termination

You may stop using the App at any time. We may suspend or terminate your access if you violate these Terms or use the App in a way that could cause harm or legal liability. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

14Changes to the App and to These Terms

We may modify or discontinue features of the App at any time. We may also update these Terms from time to time; material changes will be reflected by updating the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

15Governing Law

These Terms are governed by the laws of Miami-Dade, Florida, USA, without regard to its conflict-of-laws principles, except where mandatory consumer-protection laws of your country of residence apply.

16Apple App Store Terms

If you obtained the App from the Mac App Store, the following additional terms apply and, in case of conflict with the rest of these Terms, control with respect to the Mac App Store version:

• These Terms are concluded between you and DonQuijotech LLC only, not with Apple. Apple is not responsible for the App or its content.
• Your license to use the App is a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for the App. Any support questions should be directed to us at legal@noppup.pet.
• In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• We, not Apple, are responsible for addressing any claims relating to the App, including product-liability, legal/regulatory, and consumer-protection claims.
• We, not Apple, are responsible for investigating and resolving any third-party claim that the App infringes intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.

17Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
